Terms of Service

These Terms of Service ("Terms") govern your access to and use of Sterling’s website and services (the "Service"). By subscribing to or using the Service, you agree to these Terms.

1. Who We Are

Sterling ("Sterling", "we", "us", or "our") provides Google Ads management focused on Google Maps outcomes (such as calls and directions), including building and managing campaigns inside your Google Ads account when you authorize access.

2. Eligibility

You must be at least 18 years old and able to enter into a binding agreement to use the Service. If you use the Service on behalf of a business, you confirm you have authority to bind that business.

3. The Service

3.1 What we provide

  • Campaign setup and ongoing optimization inside your Google Ads account (when access is granted).
  • Operational updates and reporting cadence as described on our website (for example, weekly updates).
  • Search term cleanup and negative keyword management as part of traffic quality control.

3.2 What we do not provide

  • We do not include your Google advertising spend. You pay Google directly for ad spend.
  • We do not provide guaranteed results (see Section 9).
  • Unless explicitly stated on the website at the time of purchase, we do not include recurring consultation calls or meetings.
  • We do not provide legal, tax, or compliance advice.

3.3 Geographic scope

The Service is designed primarily for businesses operating in the United States, but availability may vary. We may decline onboarding if the Service is not a fit for your location, category, or compliance constraints.

4. Client Responsibilities

  • Access: You must provide and maintain the necessary access to your Google Ads account and related assets (for example, Google Business Profile) required to perform the Service.
  • Accuracy: You are responsible for providing accurate business information and responding to requests needed to operate campaigns.
  • Compliance: You must comply with Google’s policies and applicable laws for your business and advertising. You are responsible for your offers, claims, landing pages, and business practices.
  • Payments to Google: You are responsible for all charges billed by Google for ad spend and any platform fees.

5. Subscription, Billing, and Payments

5.1 Subscription term

The Service is provided on a subscription basis and renews automatically each billing cycle unless canceled. Billing cadence and price are shown at checkout and on the pricing page.

5.2 Merchant of Record

Payments for the subscription may be processed by our payment provider acting as Merchant of Record (for example, Paddle). This means the charge on your bank statement and invoices may be issued by the Merchant of Record, and they may handle certain billing, tax, and payment compliance obligations.

5.3 Taxes

Taxes (such as VAT or sales tax) may be applied where required. The final amount is shown at checkout.

5.4 Failed payments

If a payment fails, we may retry payment collection and may suspend Service until payment is successfully processed.

6. Cancellation and Termination

6.1 Cancellation by you

You can cancel at any time. Unless otherwise stated at checkout or required by law, cancellation stops renewal and the Service continues until the end of the current paid billing period.

6.2 Termination or suspension by us

We may suspend or terminate the Service if: (a) you fail to pay, (b) you do not provide required access or information, (c) you materially breach these Terms, (d) your use creates legal or platform-policy risk (including Google policy violations), or (e) we must do so to comply with law.

6.3 Effect of termination

If the Service ends, access you granted can be revoked by you at any time. Campaign assets and account structure built inside your Google Ads account remain in your account, under your control.

7. Refunds

Refund rules are described in our Refund Policy (if published) and at checkout. Unless required by applicable law or explicitly stated otherwise, we do not provide refunds for completed or partially used subscription periods. If you cancel, you will not be billed for the next cycle.

8. Privacy

9. No Guarantees and Disclaimer

Advertising performance depends on many factors outside our control (including market conditions, competition, your offer, budgets, landing pages, business operations, and platform algorithms). Therefore, we do not guarantee specific results, including calls, directions, rankings, revenue, or return on ad spend. The Service is provided on an "as is" and "as available" basis, to the maximum extent permitted by law.

10. Limitation of Liability

To the maximum extent permitted by law, Sterling will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to the Service.

To the maximum extent permitted by law, Sterling’s total liability for any claim related to the Service will not exceed the amount you paid for the Service in the one (1) month period preceding the event giving rise to the claim.

11. Third-Party Platforms

The Service depends on third-party platforms (including Google Ads and related Google services). We are not responsible for third-party outages, policy enforcement actions, account suspensions, disapprovals, or changes in platform functionality. You agree to comply with third-party terms and policies.

12. Intellectual Property

We retain all rights to our website, templates, know-how, and any materials we provide outside your accounts. Campaign structure and assets built inside your Google Ads account remain in your account. You grant us permission to access and work within your account solely to provide the Service.

13. Acceptable Use

You agree not to misuse the Service, including:

  • attempting to gain unauthorized access to systems or accounts,
  • using the Service for unlawful advertising or prohibited categories,
  • interfering with or disrupting the Service or third-party platforms.

14. Changes to the Service and Terms

We may update the Service and these Terms from time to time. We will post the updated Terms on this page and update the effective date. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

15. Governing Law and Disputes

These Terms are governed by the laws applicable to Sterling’s contracting entity, without regard to conflict of law rules. Where permitted, disputes will be resolved in the competent courts applicable to Sterling’s contracting entity, unless a mandatory consumer protection law provides otherwise.
